    • Refinance wave on December 31, 2026 (end of temporary deferral period)?
    • Eventual federal regulation as securities?
    • Similarities with other tax deferral structures: tenancy-in-common (TIC) sponsors and Delaware Statutory Trust structures – could lead to IRS scrutiny
